Virtual Neighbour provides a Christian Business Directory (the “Directory”) website platform service solely for UK Christian businesses, as specified in the Definitions, to advertise and promote their businesses. Users will search for, and connect with these businesses to make use of their services.
In this Agreement, “We”, “Us” and “Our” shall mean Virtual Neighbour Limited (registered number 06681591), whose registered office is at Suite 122, The Wenta Business Centre, Innova Park, Electric Avenue, Enfield EN3 7XU. “You” and “Your” shall mean You as a registered end-user (person, company, or other organisation) accessing or using the “Service” or “Services” shall mean the virtualneighbour.com website and Directory. These Services are provided by Us to You on the terms of this Agreement.
1. Definitions
In these Terms and Conditions:
Advert: means all advertising, whether created or provided in connection with the Services, including the Business Citation, and Business Listing
Business Citation: means the name, address, telephone number, and website of the business referenced online
Business Listing: means a directory-style listing containing your Business Citation and much more vital information to help you be found
Christian: means a person who believes in Jesus Christ and follows His teachings
Christian Business: means a business, charity, organisation, ministry, or church that is ‘Christian-Owned’ i.e. a Christian who operates a business as a Private Limited Company, Freelancer, Sole Trader, Limited Liability Partnership, CEO, or Director
Content: means all postings, messages, text, graphics, images, logos, photographs, audio, video, animation, databases, software, Adverts, and any other form of information used to provide the Services
Intellectual Property Rights: means all copyrights, patents, designs, and trademarks
2. Our Responsibilities
We provide Our Services on an “as is” and “as available” basis. We cannot guarantee that Our Services will be uninterrupted, secure, error-free, or free from viruses. We make no representations or warranties of any kind, either express or implied, about the Content publicised on Our website. We reserve the right to review and approve all Content before it is published. We also reserve the right to remove any Content that violates these guidelines or is deemed inappropriate for any reason. We reserve the right to cancel or withdraw any Content if this is required by any relevant authority, without any liability to You, including but not limited to, any liability to refund any charges. We shall not be held liable for any comments or reviews made against Business Listings.
3. Your Responsibilities
You acknowledge and agree that You are advertising Your own business and it complies with these guidelines and all applicable laws and regulations, and does not infringe on Our rights or the rights of third parties. You shall provide true, accurate, current, and complete information when registering, creating listings, or submitting Content, and promptly update any inaccurate or outdated information. You accept full responsibility for all activities that occur under Your account including protecting your password and keeping it confidential. You should not share Your profile access details with others, and You must immediately notify Us if Your login details or password has been compromised.
You shall not use the Services provided by Us for any improper, immoral, or unlawful purpose. You must ensure that Your material is not defamatory, and does not contain any material which is illegal, harassing, threatening, obscene, offensive, hateful, abusive, discriminatory, or inflammatory.
4. Fees and Payments
We offer plan types that comprise of free memberships and paid professional subscriptions to create a Business Listing in Our Directory. The paid professional subscriptions are provided on a fixed monthly fee, which is subject to automatic renewal, unless cancelled beforehand using the specified payment method. Monthly plans are for 30-day periods. All payments are non-refundable. You may cancel your subscription at any time. We may adjust our fees from time to time.
5. Intellectual Property Rights
All Content and Intellectual Property Rights included in the Directory, are owned by Us or You and is protected by Intellectual Property Rights laws. Unauthorised use of the Content or Intellectual Property Rights may violate these laws and is strictly prohibited. You represent and warrant that You own or have the right to use and permit Us to use all Intellectual Property Rights in the Content You provide to Us. You grant Us a perpetual, transferable, non-exclusive, royalty-free, worldwide licence (with the right to sub-license), of such Intellectual Property Rights to use, adapt, reproduce, reformat, publish, display, and distribute the Content for the purposes of providing the Service to You. You may not copy, reproduce, distribute, or create derivative works from any Content on the Directory without Our express written permission or the respective Content owner.
6. Limitation of Liability
Under no circumstances shall We be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to Your use of or inability to use the Services. This includes, but is not limited to, damages for loss of business, revenue, savings, profits, goodwill, reputation, use, data, software, or other intangible losses. Nothing in the Agreement shall limit or exclude liability in respect of death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
7. Indemnities
You shall at all times fully indemnify Us from and against all complaints, damages, claims, demands, losses, costs, liabilities, and expenses (including legal costs), threatened against or incurred by Us, arising as a result of any non-compliance of this Agreement by You, or from processing any information You submit or for integration into the Services including any claims arising as a result of illegality or breach of any third party rights.
8. Termination and Cancellation
We reserve the right to terminate or suspend Your access to any or all of the Services or Your account at any time, without notice, for conduct that We believe violates this Agreement or is harmful to other users of the Services, or for any other reason. We shall not be liable to You or any third-party for any termination of Your access to the Service. You may terminate the use of the Services or Your account by giving Us written notice by email to connect@virtualneighbour.com.
9. General
The parties to this Agreement do not intend that any term of this Agreement will be enforceable by virtue of the Contracts (Rights of Third Parties) Act 1999 by any person that is not a party to it.
If any provision of this Agreement is found by any court, tribunal or administrative body of competent jurisdiction to be wholly or partly illegal, invalid, unenforceable or unreasonable it shall to such extent be deemed severable and the remaining provisions of this Agreement shall continue in full force and effect.
We reserve the right to modify this Agreement, at any time without giving You notice. Your continued use of Our website following any changes will signify Your acceptance of the new Agreement.
10. Governing Law
This Agreement is subject to the laws of England and Wales, and You submit to the exclusive jurisdiction of the courts of England and Wales.
